1. Acceptance of Terms

3. User Obligations

6. Payment Terms

Payment terms for services will be specified in the applicable Service Agreement. General payment principles include:

• All fees are quoted in the currency specified in the Service Agreement
• Invoices are due and payable within 30 days of issuance unless otherwise stated
• Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law
• The Company reserves the right to suspend services for accounts that are overdue
• All fees are exclusive of applicable taxes, which shall be borne by the client

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed by the other party during the course of the service engagement. Confidential information includes:

• Business plans, strategies, and financial information
• Technical data, software, and system architecture details
• Client lists, vendor information, and personnel data
• Any information marked as confidential or that reasonably should be understood to be confidential

This confidentiality obligation survives the termination of any service engagement for a period of three (3) years.

8. Warranties and Disclaimers

The Company warrants that it will perform its services in a professional and workmanlike manner consistent with industry standards. Except for this express warranty:

• The Site and services are provided on an "AS IS" and "AS AVAILABLE" basis
• We make no warranties, expressed or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement
• We do not warrant that the Site will be uninterrupted, timely, secure, or error-free
• We do not warrant that the results obtained from the use of the Site or services will be accurate or reliable

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Company's total aggregate liability arising out of or related to these Terms or any service engagement shall not exceed the total fees paid by the client to the Company during the twelve (12) months preceding the claim
• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses
• The Company shall not be liable for any damages arising from client's use of or inability to use the Site

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of or access to the Site or services
• Your violation of these Terms
• Your violation of any rights of another party, including intellectual property rights
• Your violation of any applicable laws or regulations

11. Termination

We reserve the right to terminate or suspend access to our Site immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Specific service engagements may be terminated according to the terms of the applicable Service Agreement.

Upon termination of a service engagement:

• All outstanding fees become immediately due and payable
• The Company will deliver any completed work product
• Each party will return or destroy the other's confidential information
• Provisions that by their nature should survive termination will remain in effect

12. Force Majeure

The Company shall not be liable for any failure to perform its obligations where such failure results from circumstances beyond the Company's reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts in Xi'an, Shaanxi, China.

14. Dispute Resolution

The parties shall attempt to resolve any dispute arising out of or relating to these Terms through good faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to arbitration administered by the Xi'an Arbitration Commission in accordance with its rules. The arbitration shall be conducted in Chinese, and the arbitral award shall be final and binding.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and these Terms shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein.

16. Entire Agreement

These Terms, together with any Service Agreement or Statement of Work, constitute the entire agreement between you and the Company regarding the use of the Site and services. These Terms supersede any prior or contemporaneous understandings, agreements, representations, and warranties.
